These Terms govern your use of the software applications and online services provided by Jopex Investment Ltd ("Jopex", "we", "us"). They apply to every Jopex product, whether you reach it through a mobile app, a web portal, or another interface (each, the "Service"). Individual products may publish additional terms specific to them; where they do, those supplement these Terms and, in the event of a conflict on a product-specific matter, take precedence.

By creating an account or using any Service, you agree to these Terms, together with the Privacy Policy for the product in question and our Acceptable Use Policy. If you do not agree, please do not use the Service.

1. Eligibility and your account

You must be at least 18 years old, or the age of majority in Tanzania, to hold an account. The information you give us must be accurate and kept current. You are responsible for everything that happens under your account, and for keeping your phone number, one-time passwords, and any PIN or device credentials private.

Where you register on behalf of an organisation, you confirm that you are authorised to act for it and to enter the data of the people it concerns in line with the law and with that organisation's own consent arrangements.

2. The Service

Each Jopex product does a specific job, described within the product itself. We continue to build and improve our software, and we may add, change, or withdraw features over time. Where a change is significant, we will give reasonable notice. The Service depends on a compatible device and an internet connection, both of which are your responsibility, along with any data charges.

3. Payments

Some products allow you to make or record payments. Depending on the product, a payment may be handled by a third-party provider, such as a mobile-money or card gateway, or made directly to a business using the details it supplies. How each product handles this is set out in its Privacy Policy.

Jopex is not a bank or a payment institution, and it is not a party to the underlying transaction between you and a school, workshop, supplier, or other business. Where a product only records a payment or displays a business's payment details, we neither hold nor move your money. Questions about an amount, a refund, or the goods or services themselves are matters for the business concerned. Any fee you pay Jopex for the use of a product is governed by a separate agreement.

4. Your content

You keep ownership of the data and material you put into the Service. You grant us a limited licence to store, process, and display that material for the sole purpose of operating and supporting the product. You are responsible for ensuring you have the right and a lawful basis to submit it, including any personal data relating to other people.

The software itself, along with our designs, trademarks, and branding, belongs to Jopex or its licensors. You may not copy, modify, reverse-engineer, resell, or build derivative works from it except where the law expressly allows.

5. Acceptable use, suspension, and termination

Your use of the Service is subject to our Acceptable Use Policy. You may stop using a product at any time and ask us to delete your account under the relevant Account Deletion Policy. We may suspend or end access where you break these Terms, misuse the Service, or where the law requires it; where it is reasonable to do so, we will tell you first. After termination, some data may be retained as described in the applicable Data Retention Policy or as the law requires.

6. Availability and liability

We work to keep our products available and dependable, but we do not promise that they will be uninterrupted or free of error, and a Service may be unavailable during maintenance or for reasons beyond our control. To the extent the law permits, the Service is provided "as is", and Jopex is not liable for indirect or consequential loss, or for loss of data, profit, or goodwill. We do not warrant the accuracy of records, calculations, or reports entered by users or businesses; that accuracy is the responsibility of whoever enters them. Nothing here excludes any liability that cannot lawfully be excluded.

You agree to cover Jopex against claims and losses arising from your breach of these Terms, your misuse of a product, or your unlawful handling of personal data submitted to the Service.

7. Governing law

These Terms are governed by the laws of the United Republic of Tanzania. Disputes are dealt with first under our Complaint & Dispute Policy, and, failing resolution, by the competent courts of Tanzania. We may revise these Terms from time to time; significant changes will be notified through the relevant product or by other reasonable means, and your continued use after a change takes effect means you accept it.
